J. Thomas McDermott represents individuals and businesses in real estate and other business transactions.  His practice focuses primarily on commercial real estate, including multi-family residential, commercial shopping centers, commercial/industrial warehousing, and other commercial projects.

Mr. McDermott has represented a variety of clients in all phases of real estate acquisition, development, leasing and disposition.  Those services include:

• Organizing business entities, including:
  corporations, S-corporations, limited liability companies, limited partnerships, general partnerships and joint ventures, including single purpose, bankruptcy remote entities;
• Negotiating, drafting and reviewing real estate offers to purchase and agreements of sale;
• Reviewing title commitments and clearing liens and encumbrances;
• Real estate acquisition and construction financing, reviewing Loan Applications and Commitments, Loan Agreements, Notes, Mortgages, Security Agreements, Assignments of Leases and Rents and other loan and security documents;
• Commercial leasing and subleasing;
• Creating Condominiums, both residential and commercial, drafting Condominium Declarations, Condominium Association By-Laws, and working with surveyors to create Condominium Plats;
• Real estate refinancing transactions, including various forms of conduit real estate financing, including collateralized mortgage obligation pools and multi-tiered mortgage financing transactions and financing in which bankruptcy non-consolidation is required;
• Negotiating, drafting and reviewing agreements to sell real estate;
• Assisting with providing due diligence information including Tenant Estoppel Letters and Subordination, Non-Disturbance and Attornment Agreements;
• Drafting real estate deeds and transfer returns, assignments of leases, easements, restrictive covenants and other real estate conveyance documents. 

Mr. McDermott also represents a variety of business clients in connection with organizing their business entities, business planning, general contracts, and other corporate, limited liability company and partnership matters.
